Resolution Waiving the 60-Day Recording Requirement Condition of the Final Plat Approval for Cedar Meadows and Ratifying Replacement Development Agreement

Action Requested:
The City Council of Northfield, MN is asked to approve a resolution waiving the 60-day recording requirement condition of the Final Plat for Cedar Meadows and ratifying the Replacement Development Agreement.
Summary Report:
At the July 9, 2024 City Council meeting Council approved Resolution 2024-076 approving the original Development Agreement for Cedar Meadows and Resolution 2024-075 approving the Final Plat for Cedar Meadows. As a condition of that Original Development Agreement the developer was required to record the Final Plat within 60 days. Due to unavoidable delays occurring after the original approval of the Resolutions associated with the Developer obtaining financing for the project, the Developer did not record the Final Plat or the Original Development Agreement as required. The Developer continued to work to secure the required financing and enter into a new Development Agreement correcting the project timing issues. Ultimately, a new Replacement Development Agreement was drafted and executed on March 2, 2026 and recorded as Document No. 3721228 (the “Replacement Development Agreement”), which amended and updated the timing for commencement, completion, and recording of the project.
City staff proceeded with the execution of the Replacement Development Agreement without further action from the Council to correct the timing issues in the Original Development Agreement. The Original Resolution allowed staff to make minor or technical changes, and staff concluded that no changes altered the approved Final Plat nor the Project. Fees, charges, and securities required for the Project were updated to reflect the fee schedule and construction costs current as of 2026.
Once executed, the Replacement Development Agreement and Final Plat were recorded, all fees, sureties, and guarantees were received, and all other conditions prior to receiving approval to proceed were satisfied. The Developer has begun work on the required public improvements.
The Final Plat has not changed from that originally approved by Resolution 2024-075, and repeating the Final Plat approval process would only cause needless financial burden and delay on a project that already received Council approval. The Developer communicated with City staff during the delay, making good faith effort to move the project forward. The reasons for the delay in recording the Final Plat by the Developer were reasonable and necessary to secure funding for the project, and the Replacement Development Agreement matches the original with revisions limited to technical changes required to address the delay in recording and the increases in associated fees and project costs. Such a delay provides no benefits to the community, the City, or the City Council, and the project further established goals of creating additional housing.
Under the terms of the Development Agreement, the Council Reserves the right to waive any required deadlines, so long as a written waiver is provided. The attached resolution serves as the written documentation that the original timelines have been waived, and the Final Plat and Replacement Development Agreement are ratified by Council.
Staff are reviewing the standard recording timelines against best practices and the practical realities of development to determine if the current standard 60-day timeline for recording is reasonable, practicable, and if alternatives may better serve the interests and goals of the City.
City Plans & Policies Relevance:
The Comprehensive Plan and the Strategic Plan both reaffirm the need for additional housing in Northfield, which this project provides, and multiple other elements of the project including park dedication, wetland protection, transportation, and connectivity are all consistent with City Plans and Policies.
